Terms of service
Short and in plain language. Version 1.0, valid from 18 September 2026.
1. Who we are
Closelift c/o T. Lutz, Färberstrasse 17, 4057 Basel, Switzerland ("Closelift", "we") builds, hosts and runs websites for businesses. These terms apply to businesses, not to consumers.
2. How a contract is formed
The contract is formed when you order your website on the claim page and bindingly complete the order in Stripe Checkout. If you pay by SEPA direct debit, the later receipt of the money is not a condition for this. You receive the confirmation by email.
3. Price and payment
The monthly price and any one-time setup fee are stated on your claim page and in the confirmation. Special terms, such as an introductory price or the reference customer agreement, apply as described there. You can withdraw your approval of a personal quote at any time with effect for the future. The setup remains free of charge.
All prices are net, plus applicable taxes. Payment is handled by Stripe: monthly, or once in advance for a year.
If a payment that is due cannot be collected, for example because a direct debit is returned or a card is declined, we tell you by email and try to collect it again. If the payment has not arrived within 14 days of the first failure, we take your website offline on the day we name in that email. If you pay later, we put it back online as long as the contract continues. If the payment is still outstanding after further attempts, we may end the contract; we tell you so by email. Our right to terminate for non-payment under section 4 remains unaffected.
4. Term and cancellation
The subscription renews automatically by one month, or by one year if you pay yearly, until you cancel. If you pay monthly, you can cancel at any time with effect from the end of the current billing month; a billing month starts on the day the contract starts and then on each monthly renewal day. If you pay yearly, you pay for twelve months at the price of ten and can cancel early at any time. For each contract month still fully unused when the contract ends, we refund one twelfth of the yearly price actually paid, within 14 days. A one-time setup fee is not refunded outside the voluntary 14-day money-back promise.
Within the first 14 days after the contract is formed you can withdraw without giving a reason. We then refund everything you have paid within 14 days. A domain we have already registered for you at your request remains yours. With the refund the contract ends, and we take your website offline.
An email to hello@closelift.com is enough. When the contract ends, we take the website offline; you keep your domain and your content.
We can terminate with three months' notice, and immediately for serious reasons such as unlawful content or non-payment despite a reminder.
5. Your domain
A domain you already own remains yours; we only set up the forwarding and change nothing about your email addresses. If we register a new domain for you, it is registered in your name, for the surcharge stated on the claim page. It belongs to you, also after cancellation.
6. Content and rights
Your texts, images and logo remain yours. You allow us to use them to run your website and warrant that you hold the rights to them and that the content does not violate applicable law. This also applies to everything you have changed later.
Until 30 days after the contract ends, we hand over your texts and images as files on request. The technical implementation of the website remains our work.
7. Availability
We commit to 99% availability of your website per calendar month. Outages caused on your side, for example with your own domain, do not count. Lawful suspensions for late payment or unlawful content do not count as downtime.
If availability falls below that, we refund the monthly fee pro rata for the time beyond that 1%. An email is enough. If you pay yearly, one twelfth of the yearly amount counts as the monthly fee.
8. Liability
We are liable without limitation for intent and gross negligence and for damage from injury to life, body or health.
In the case of slight negligence we are liable only if we breach an obligation whose fulfilment you may rely on and which is essential to the contract. Liability is then limited to the typically foreseeable damage, and at most to the higher of the fees you have actually paid in the last twelve months and twelve agreed monthly base fees. Mandatory statutory liability remains unaffected.
9. Data
For the data of your customers, such as enquiries and appointment bookings, our data processing agreement applies. It is part of this contract. How we ourselves handle data is explained in our privacy policy; it informs you and is not part of this contract.
10. Changes to these terms
We may change these terms for an objective reason, for example new legal requirements. We inform you by email at least six weeks in advance. If you do not agree, you can cancel until then; we point this out in the notice.
11. Governing law and jurisdiction
Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Basel, Switzerland; mandatory statutory places of jurisdiction remain unaffected. If a provision is invalid, the remaining provisions remain valid.
Contracts concluded in English are governed by the English version of these terms, contracts concluded in German by the German version.
